Free Trial Terms

1. About these Trial Terms

FlowForma Process Automation, FlowForma Contract, FlowForma Agent Trust and FlowForma Assure (each a "Product", as listed in the Annex) are provided by FlowForma Limited, 1st Floor, Block E, Eastpoint Business Park, Dublin 3, Ireland ("FlowForma", "we", "us" or "our"). These Trial Terms govern access to a free evaluation environment of a Product made available to a prospective customer ("you" or "Customer") for internal evaluation purposes.

By accessing or using the Trial, you agree to these Trial Terms. The Trial is not a subscription, and the FlowForma Terms and Conditions and Support Policy do not apply unless FlowForma expressly agrees otherwise in writing.

2. Trial access

FlowForma grants you a limited, non-exclusive, non-transferable and revocable right to use the Trial for internal evaluation during the 30-day Trial period. FlowForma may impose reasonable Trial limits on users, records, storage, duration, functionality or usage.

FlowForma may modify, suspend or end a Trial at any time, including where required for security, misuse, operational reasons or expiry of the evaluation period.

3. AI-assisted features

Each Product uses Microsoft Azure OpenAI Service to analyze the information you provide and may generate recommendations, findings, summaries, rationale and supporting citations. AI-generated outputs are intended to support human decision-making and do not constitute professional, legal, regulatory, cybersecurity, compliance, financial, procurement or risk-management advice.

AI output may contain inaccuracies, omissions or incomplete conclusions. You remain responsible for due diligence and for all decisions you make using a Product, including vendor, procurement, contract, security, compliance, remediation, AI agent and risk-acceptance decisions.

4. Human oversight

Products are designed so that people remain responsible for decisions. In FlowForma Assure, the AI does not approve or reject vendors or other third parties on its own: a human assessor remains responsible for completing an assessment, can review and override AI recommendations, and must record a written reason if an assessment is completed with findings still unreviewed.

5. Data processing, hosting and AI location

FlowForma processes information submitted through the Trial to provide the Product, including storing records and documents, extracting and indexing content, performing AI analysis, maintaining audit records, and operating and securing the platform.

Where stored data is held for each Product is set out in the Annex. Microsoft Azure OpenAI Service uses Microsoft's Global deployment type, so individual AI requests may be processed in any Azure region where the applicable model is available.

Customer data is not used by FlowForma to train a general-purpose AI model. Microsoft states that Azure OpenAI prompts and outputs are not used to train Microsoft or third-party foundation models. Microsoft's standard abuse-monitoring arrangements may retain prompts and outputs for up to 30 days.

6. Your responsibilities and permitted content

You are responsible for ensuring that you have all rights, permissions, notices and lawful bases required to submit information to the Trial, including information relating to vendors, suppliers, employees or other third parties. You are also responsible for any permissions you grant when connecting a Product to your own systems, such as Microsoft 365.

You must not upload payment-card data, passwords, private cryptographic keys, classified information, content you are not authorized to disclose, or other highly sensitive information that is not reasonably required to evaluate the Product.

Products are not intended to process Protected Health Information or electronic Protected Health Information under HIPAA unless FlowForma has expressly agreed in writing and, where required, the parties have entered into a Business Associate Agreement.

7. Acceptable use

You must not use the Trial unlawfully or fraudulently; introduce malware; probe, scan, reverse engineer or attempt to bypass security; interfere with other users; use the Trial to build or train a competing service or model; share individual credentials; or attempt to extract system prompts, confidential platform logic or security controls.

8. Security and confidentiality

FlowForma applies reasonable technical and organizational measures designed to protect customer data. More information is available on our Security page and in our AI Disclosure.

Each party must protect the other party's non-public confidential information using reasonable care and use it only for the Trial and related evaluation discussions, except where disclosure is required by law.

9. Support and availability

The Trial is provided for evaluation. FlowForma may provide reasonable-efforts assistance through its sales, customer success or support teams, but the Support Policy, response targets, uptime commitments and service credits do not apply unless expressly agreed in writing.

The Trial may be unavailable from time to time for maintenance, releases, third-party service interruption, operational reasons or because FlowForma modifies the evaluation environment.

10. Intellectual property

FlowForma and its licensors retain all intellectual property rights in each Product, including the software, architecture, interfaces, prompts, workflows, scoring and other product logic, methodologies, documentation and improvements. You retain rights in content you supply, subject to third-party rights, and grant FlowForma the limited rights required to operate the Trial.

11. Data retention and deletion

Trial data may be deleted after expiry or termination of the Trial in accordance with FlowForma's standard trial deletion process. You are responsible for keeping any reports or information you need before the Trial ends. Residual copies may remain temporarily in backup, soft-delete, AI-provider abuse-monitoring or security logging systems until the applicable retention period expires.

12. Disclaimer of warranties

To the maximum extent permitted by law, the Trial is provided "as is" and "as available" for evaluation purposes. FlowForma does not warrant that the Trial will be uninterrupted or error-free, identify every risk or issue, be suitable for a particular purpose, or satisfy any legal, regulatory, audit or certification requirement.

13. Limitation of liability

To the maximum extent permitted by law, FlowForma is not liable for indirect, incidental, special, consequential or punitive loss, or for loss of profit, revenue, business, opportunity, anticipated savings, goodwill or reputation arising from the Trial. FlowForma is not liable for vendor, procurement, contracting, security, compliance or risk decisions made in reliance on Trial outputs, or for actions taken by AI agents, except to the extent liability cannot lawfully be excluded.

FlowForma's total aggregate liability arising out of or relating to the Trial will not exceed €100, except to the extent applicable law prohibits that limitation.

14. Ending the Trial

Either party may end the Trial at any time. FlowForma may suspend or end access immediately where reasonably necessary because of misuse, unlawful activity, a security threat, breach of these Trial Terms or expiry of the evaluation period.

15. General

These Trial Terms are the agreement governing the Trial and supersede prior statements about Trial access. A failure to enforce a right is not a waiver. If a provision is unenforceable, the remaining provisions remain in effect. These Trial Terms are governed by the laws of Ireland, and the courts of Ireland have exclusive jurisdiction, subject to any rights that cannot lawfully be excluded.

16. Moving to a subscription

Continued use of a Product after the Trial requires a paid subscription. Subscriptions are governed by your order form, the FlowForma Terms and Conditions and the supporting documents in the Trust Center.
